  • review deliverables;

  • maintain required licenses and permissions;

  • make payments according to agreed terms.

Fairmont Alliance is not responsible for delays caused by incomplete information, unavailable resources, delayed approvals, or Client-side issues.

6. Project Scope and Changes

Projects are performed according to an agreed scope of work.

Requests outside the original scope may require:

  • additional fees;

  • revised timelines;

  • updated agreements;

  • written approval from both parties.

Fairmont Alliance may update project estimates when requirements significantly change.

7. Fees and Payments

Fees are established through proposals, invoices, statements of work, or other written agreements.

Payment structures may include:

  • hourly consulting;

  • fixed project pricing;

  • milestone payments;

  • monthly consulting agreements;

  • ongoing support arrangements.

Invoices must be paid according to the agreed payment terms.

Failure to make payments may result in:

8. Confidentiality

Both parties agree to protect confidential information obtained during the engagement.

Confidential information may include:

  • technical documentation;

  • software architecture;

  • project materials.

Each party agrees to use confidential information only for authorized purposes and protect it from unauthorized disclosure.

These confidentiality obligations continue after termination of services.

9. Intellectual Property

Each party retains ownership of its pre-existing intellectual property.

Fairmont Alliance retains ownership of:

  • internal tools;

  • methodologies;

  • frameworks;

  • templates;

  • processes;

  • know-how;

  • reusable technology components.

Client-specific deliverables created under a paid engagement will be handled according to the applicable agreement.

Unless otherwise agreed, payment in full grants the Client rights to use completed deliverables for its internal business purposes.

10. Client Data

The Client retains ownership of all business data, documents, and information provided to Fairmont Alliance.

The Company may access Client information only as necessary to perform contracted services.

Fairmont Alliance does not sell, distribute, or use Client data for unrelated purposes.

11. Third-Party Services

Projects may involve third-party platforms, including:

  • cloud providers;

  • software vendors;

  • analytics platforms;

  • hosting providers;

  • technology partners.

Fairmont Alliance is not responsible for third-party services, pricing, availability, security practices, or performance.

Clients remain responsible for maintaining required third-party licenses and accounts.

12. Warranties Disclaimer

Fairmont Alliance provides consulting services using commercially reasonable professional practices.

However, we do not guarantee:

  • uninterrupted service availability;

  • specific business outcomes;

  • increased revenue;

  • cost savings;

  • regulatory approval;

  • error-free operation of third-party systems.

Technology projects involve risks, dependencies, and factors outside the Company's control.

13. Limitation of Liability

To the maximum extent permitted by law, Fairmont Alliance shall not be liable for:

  • indirect damages;

  • incidental damages;

  • consequential damages;

  • lost profits;

  • business interruption;

  • loss of data;

  • loss of opportunity.

The Company's total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

14. Indemnification

The Client agrees to indemnify and hold harmless Fairmont Alliance from claims, damages, liabilities, and expenses arising from:

  • Client-provided information;

  • misuse of deliverables;

  • violation of applicable laws;

  • unauthorized use of services;

  • Client systems or third-party platforms.

15. Termination

Either party may terminate an engagement according to the terms of the applicable agreement.

Upon termination:

  • Client remains responsible for completed work;

  • outstanding payments remain due;

  • confidentiality obligations continue;

  • intellectual property rights remain unaffected.

Fairmont Alliance may suspend or terminate services for non-payment, misuse, security concerns, or breach of these Terms.

16. Force Majeure

Fairmont Alliance shall not be responsible for delays or failures caused by circumstances beyond reasonable control, including:

  • natural disasters;

  • government actions;

  • internet failures;

  • cybersecurity incidents;

  • labor disruptions;

  • third-party service interruptions.

17. Governing Law

These Terms shall be governed by the laws of the state where Fairmont Alliance is registered, without regard to conflict of law principles.

18. Dispute Resolution

The parties agree to attempt good-faith resolution of disputes before pursuing formal legal action.

Any dispute arising from these Terms shall be handled according to applicable laws and the jurisdiction specified by the governing law.

19. Changes to These Terms

Fairmont Alliance may update these Terms from time to time.

Updated Terms become effective when published on the website.

Continued use of the website or services after updates constitutes acceptance of the revised Terms.
